These Terms of Service (the "Terms") govern your access to and use of the Superscout website at superscout.co, the Superscout application, the Superscout Chrome extension, and any related Superscout products, features, software, content, or services (collectively, the "Service"). The Service is operated by Superscout Inc. ("Superscout," "we," "us," or "our").
By accessing or using the Service, creating an account, installing the Superscout Chrome extension, starting a subscription, or otherwise indicating acceptance, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Superscout provides tools and resources for people and organizations involved in startup discovery, venture scouting, startup fundraising, investor research, deal-flow management, and related workflows. The Service may include saved company profiles, notes, deal memos, public or private scout profiles, program directories, investor or startup matching tools, learning resources, browser extension capture tools, messaging or introduction workflows, and other related features.
Superscout is an actively developed product. We may add, remove, suspend, limit, rename, or modify any part of the Service at any time.
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. If you use the Service on behalf of an organization, fund, company, university, accelerator, or other entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for keeping your account credentials secure and for all activity under your account. You must provide accurate and current account information and notify us promptly if you believe your account has been compromised.
Superscout is an information, workflow, and networking platform. Superscout does not provide investment, legal, tax, accounting, employment, fundraising, broker-dealer, or financial advisory services through the Service.
Any startup, investor, program, grant, accelerator, scout role, deal memo, market data, profile, ranking, recommendation, match, or other information made available through the Service is provided for informational and workflow purposes only. It is not a recommendation to invest, offer securities, purchase securities, hire, apply, fundraise, enter into a scout arrangement, or enter into any transaction.
You are responsible for your own diligence, decisions, compliance obligations, and professional advice.
Superscout does not guarantee that you will receive funding, investment opportunities, scout compensation, employment, introductions, investor interest, deal-flow access, application acceptance, program placement, investment returns, or any other business outcome.
Directories, profiles, matching tools, availability signals, program details, investor information, and startup information may be incomplete, outdated, inaccurate, or based on third-party or user-submitted data. You should verify information independently before relying on it.
Some parts of the Service may be offered on a paid subscription, early-access, membership, or other paid basis. Pricing, billing interval, renewal terms, and any promotional terms are presented at or before checkout.
Unless stated otherwise at checkout, paid subscriptions automatically renew at the end of each billing period until canceled. By starting a paid subscription, you authorize Superscout and its payment processor to charge your selected payment method for the initial term and each renewal term.
Payments are processed by Stripe or another third-party payment processor. We do not store your full payment card number, CVV, or full bank account details. Your payment may also be subject to the payment processor's terms and privacy policy.
You may cancel your subscription from your Superscout account settings where available, or by contacting support@superscout.co. Cancellation stops future renewal charges. Cancellation does not cancel, refund, or prorate fees already paid for the current billing period. Unless we state otherwise, you will continue to have access to paid features through the end of the billing period you already paid for.
All payments are final and non-refundable except where required by applicable law or where Superscout, in its sole discretion, chooses to issue a refund. Any discretionary refund, credit, discount, waiver, or accommodation we provide in one situation does not create a right to receive the same treatment in any other situation and does not change these Terms.
If you believe there has been a billing error, contact support@superscout.co as soon as possible so we can review it.
We may offer trials, discounts, launch pricing, early-access pricing, credits, or promotional terms. Promotional terms may be limited by time, eligibility, quantity, geography, user type, product tier, or other conditions we specify.
If a promotion changes the price for an initial period, the subscription may renew at the then-current renewal price disclosed at checkout or in the applicable offer terms. We may change or end promotions at any time, subject to applicable law.
Early-access, beta, preview, or experimental features may be incomplete, unavailable, unstable, or changed without notice.
The Service may allow you to submit, store, create, upload, import, capture, publish, or share information, including profile information, company information, notes, memos, lists, saved URLs, messages, scout activity, program data, investor data, startup data, comments, files, and other materials ("Your Content").
You retain the rights you have in Your Content. You grant Superscout a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, format, and use Your Content as reasonably necessary to provide, secure, maintain, support, and improve the Service.
You are responsible for Your Content and for having the rights and permissions needed to submit it to the Service. Do not submit confidential, proprietary, personal, or third-party information unless you have the right to do so.
Our collection and use of personal information is described in our Privacy Policy at https://superscout.co/privacy, which is incorporated into these Terms.
Some features may use third-party infrastructure or AI services to classify, summarize, extract, enrich, match, or otherwise process information you submit or capture. We use these tools to operate and improve the Service, subject to our Privacy Policy and applicable product disclosures.
Some Superscout features may allow you to publish a profile, share a company, send a memo, request or make an introduction, respond to an opportunity, or reveal information to another user or third party.
You are responsible for what you choose to publish or share. Once information is shared with another user or third party, Superscout cannot guarantee that the recipient will keep it confidential or use it only as intended.
Unless a separate written agreement says otherwise, Superscout is not a party to any investment, employment, advisory, scout, consulting, fundraising, compensation, introduction, carry, finder, grant, accelerator, or commercial arrangement between users or third parties.
The Service may include information about scout programs, venture programs, grants, accelerators, funds, startups, investors, or other third-party opportunities. Superscout does not guarantee that program details are accurate, current, available, or applicable to you.
Any compensation, carry, referral, advisory, scout, employment, investment, or other arrangement must be governed by the separate written agreement, if any, between the relevant parties. Unless Superscout signs a separate written agreement with you, these Terms do not create any right to compensation from Superscout.

We may suspend or terminate access if we believe you have violated these Terms or created risk for Superscout, users, third parties, or the Service.
Superscout, the Superscout name, logos, designs, software, website, extension, data structures, workflows, text, graphics, and other materials are owned by Superscout or its licensors and are protected by intellectual property and other laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. No rights are granted except as expressly stated in these Terms.
Feedback, suggestions, ideas, or improvement requests you provide may be used by Superscout without restriction or compensation to you.
The Service may integrate with, depend on, or link to third-party services, including payment processors, authentication providers, browser platforms, data providers, hosting providers, analytics providers, AI providers, email providers, and websites operated by third parties.
Third-party services are governed by their own terms and privacy policies. Superscout is not responsible for third-party services, content, data, availability, security, or practices.
You may stop using the Service at any time. You may request account deletion by contacting support@superscout.co.
We may suspend, restrict, or terminate your access to the Service at any time if we believe you violated these Terms, created risk, failed to pay amounts owed, used the Service abusively, or if continued access would be unlawful or commercially impractical.
Termination does not entitle you to a refund except where required by law. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property terms, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Superscout disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.
We do not warrant that the Service will be error-free, secure, uninterrupted, current, complete, or suitable for your particular purpose.
To the fullest extent permitted by law, Superscout and its officers, directors, employees, contractors, affiliates, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost revenue, lost data, lost goodwill, lost business opportunities, investment losses, financing outcomes, or cost of substitute services, arising out of or related to the Service or these Terms.
To the fullest extent permitted by law, Superscout's total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to Superscout for the Service in the 12 months before the event giving rise to the claim, or (b) USD 100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Superscout and its officers, directors, employees, contractors, affiliates, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to Your Content, your use of the Service, your violation of these Terms, your violation of law, or your violation of any third-party rights.
We may update these Terms from time to time. The "Last updated" date above reflects the latest version. If we make material changes, we will provide notice as required by law, which may include posting the updated Terms, emailing active account holders, or showing an in-product notice.
Your continued use of the Service after updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using the Service and cancel any subscription before the next renewal.
These Terms are governed by the laws of the State of California, United States of America, without regard to conflict-of-law rules.
Subject to any rights you may have under applicable law, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction and venue of those courts.
These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, are the entire agreement between you and Superscout regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.
The English version of these Terms controls over any translation.
