These Terms of Service (the Terms) govern your access to and use of the Superscout website at superscout.co, the Superscout Chrome extension, and any related Superscout services (collectively, the Service), operated by Superscout Inc. (Superscout, we, us, or our). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

By accessing or using the Service in any manner, including browsing superscout.co, installing or using the Superscout Chrome extension, or creating a Superscout account, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Superscout provides tools that help venture scouts, angel investors, and other users capture, organize, and track early-stage startup opportunities. Features include browser-based capture of startup pages, structured deal storage, conviction tracking, activity history, and related capabilities. Superscout is actively developed and may add, remove, or modify features at any time.
You must be at least 18 years old and capable of entering a legally binding agreement to use the Service. The Service is not directed to children under 13, and we do not knowingly collect data from anyone under 13.
To use most features of the Service, you must create an account. You agree to provide accurate and current information when registering. You are responsible for safeguarding your password and for all activities that occur under your account. Notify us immediately at support@superscout.co if you suspect unauthorized access. We may suspend or terminate accounts that we believe were created with false information, used to violate these Terms, or otherwise misused.
Some features of the Service may be offered on a paid subscription basis. Pricing and billing terms are presented at the point of purchase. Payments are processed by Stripe; by purchasing a subscription, you also agree to Stripe's terms. Subscriptions renew automatically at the stated interval unless cancelled prior to renewal. You may cancel at any time from your account settings or by emailing support@superscout.co. Cancellations take effect at the end of the current billing period. Except where required by law, fees paid are non-refundable.
The Service lets you create content, including saved deals, notes, conviction entries, profile information, and other inputs (Your Content). You retain all rights in and to Your Content. You grant Superscout a worldwide, royalty-free, non-exclusive license to host, store, transmit, display, and process Your Content solely as necessary to operate, improve, and provide the Service to you. We do not use Your Content to train AI models for our own benefit or for any third party. We do not sell Your Content.

Superscout, the Superscout name, logo, website, software, and all related materials are owned by or licensed to Superscout Inc. and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms. No other rights are granted.
The Service integrates with or links to third-party services (Google, Apple, Stripe, OpenAI, Supabase, Postmark, and others). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for third-party services and do not endorse their content. If you authorize Superscout to connect to a third-party service on your behalf (such as Google sign-in), you also agree to that provider's terms.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
Superscout may offer features that are explicitly marked as beta, preview, alpha, or early access. Those features are provided as is for evaluation purposes only, may change or be removed at any time, may contain bugs or errors, and may have different terms than the rest of the Service. Use of beta features is at your own risk.
You may stop using the Service and delete your account at any time by emailing support@superscout.co. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, used the Service in a way that exposes us or other users to risk, or if we cease to operate the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
The Service is provided as is and as available, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Service will be error-free, secure, or always accessible. Information surfaced by the Service, including company data, investor data, and AI-generated summaries, may be inaccurate or incomplete; you are responsible for verifying any information before relying on it for investment, business, or other decisions.
To the maximum extent permitted by law, Superscout, its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability to you for all claims arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to Superscout in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100). Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Superscout and its officers, directors, employees, and affiliates from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any third-party right.
These Terms are governed by the laws of the State of California, United States of America, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the jurisdiction of those courts.
We may update these Terms from time to time. The Last updated date at the top reflects the most recent change. If we make material changes, we will provide reasonable notice (such as by posting an updated version on this page or by email to active accounts) before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service.
These Terms, together with the Privacy Policy and any other agreements we expressly incorporate by reference, are the entire agreement between you and Superscout concerning the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them freely. These Terms are written in English; any translation is provided for convenience and the English version controls.
